May 21, 2007—Hologic Inc, Bedford, Mass, and Cytyc Corp, Marlborough, Mass, have announced an agreement to combine in a $6.2 billion cash and stock transaction, creating a $10 billion women’s health care company. The new company will operate under the name Hologic, and Cytyc will become a wholly-owned subsidiary.

"This combination brings together two well-respected industry leaders in the women’s health care and diagnostics marketplace," said Jack Cumming, chairman and CEO of Hologic. "Both Hologic and Cytyc provide some of the most advanced technology addressing women’s health needs. By combining our companies’ complementary, best-in-class products and technologies, we expect to drive enhanced growth and value creation."

The combined company will have direct operations in over 20 countries with around 3,300 employees.
