Health Care Service Corporation, of Chicago, has completed its purchase of Wayne, Pa.-based MEDecision Inc.

Under terms of the agreement, MEDecision will now become a wholly owned subsidiary of HCSC and will operate independently. The company’s shareholders received $7 per share in cash, with holders of approximately 88 percent of the outstanding shares voting in favor of the transaction.

As of today, MEDecision’s common stock is no longer publicly traded.

With MEDecision, HCSC aims to enhance the technological support for Blue Care Connection — its collaborative care system designed to combine and analyze an individual’s claims information, medical data, personal health record and biometric data.

HCSC operates the Blue Cross and Blue Shield plans in Illinois, New Mexico, Oklahoma and Texas. With 12.4 million members, it is the largest customer-owned health insurer in the United States and the fourth largest health insurer in the country overall.
